These Terms & Conditions (“Terms”) govern your purchase of products and use of the website operated by R.B. Powers Company (“R.B. Powers,” “we,” “us,” or “our”). By creating an account, placing an order, or using our website, you agree to these Terms. If you do not agree, please do not use the site or place an order.
1. Wholesale accounts & eligibility
Wholesale (B2B) pricing and ordering are available to approved business and organization accounts. You agree to provide accurate, current registration information and to keep it up to date. We may approve, decline, suspend, or close an account at our discretion. You are responsible for maintaining the confidentiality of your login and for all activity under your account.
2. Pricing, minimums & quotes
Prices, minimum order quantities, and quantity price breaks are shown to approved customers and may change at any time without notice. Pricing tiers and minimums may be calculated by total quantity within a product category. Written quotes are valid for the period stated on the quote (or 30 days if none is stated) and are subject to final order review.
3. Placing an order & order acceptance
Submitting an order through the website is an offer to purchase; it is not a binding contract until we accept it. We review each order and may contact you with questions before confirming. We reserve the right to correct errors (including pricing or typographical errors), limit quantities, or decline an order. Your order is confirmed when we communicate acceptance or begin production.
4. Custom products, artwork & proofs
Many of our products are custom made to your specifications. You are responsible for the accuracy of all order details, text, spelling, dates, colors, and artwork you provide, and for approving any proof we supply. By submitting logos, names, images, or other content, you represent that you have the right to use them and you authorize us to reproduce them to fulfill your order. Because custom and personalized items are produced specifically for you, they are not returnable or refundable except for our error or a defect (see Section 7).
5. Lead times & delivery dates
Production lead times are estimates and vary by product and season; peak months may require additional time. Requested “need-by” and event dates help us plan, but delivery dates are not guaranteed unless we expressly confirm them in writing. We are not responsible for delays caused by carriers, suppliers, incomplete or late approvals, or events beyond our reasonable control.
6. Payment & invoicing
Unless otherwise agreed in writing, we invoice your order when it is ready to ship, including applicable shipping charges. Wholesale customers in good standing are granted Net 30 payment terms: payment is due within 30 days of the invoice date. These financing terms are extended at our discretion and may be modified or revoked at any time by R.B. Powers Company. Online payment options may be added over time.
Invoices that remain unpaid will accrue a finance charge of 1.5% per month (an annual rate of 18%) beginning 30 days after the invoice due date. Past-due balances may also result in orders being placed on hold, and you are responsible for reasonable costs of collection on overdue amounts. These payment terms govern your account and apply whether or not any individual invoice is separately received.
7. Shipping, title & risk of loss
Unless otherwise agreed, orders ship from our facility and title and risk of loss pass to you upon our delivery to the carrier. If you ship on your own carrier account, you are responsible for carrier charges, routing, and any related claims. Inspect shipments on arrival and report shortages or shipping damage to us and to the carrier promptly (within 5 business days), keeping all packaging.
8. Returns, cancellations & defects
Custom and personalized items are not returnable except where the product is defective or does not conform to your confirmed order. Report any claim within 10 days of receipt; our remedy, at our option, is repair, replacement, or credit of the affected items. Orders already in production may not be cancellable, or may be subject to charges for work performed and materials committed.
9. Taxes & exemptions
You are responsible for all applicable sales, use, and other taxes unless you provide a valid, current exemption certificate acceptable to us. You are responsible for the accuracy of any exemption claim.
10. Intellectual property
All website content, designs, and materials provided by R.B. Powers are owned by us or our licensors and may not be used without permission. You retain ownership of the marks and content you provide and grant us a limited license to use them solely to produce and fulfill your orders.
11. Warranty disclaimer & limitation of liability
Except as expressly stated, products and the website are provided “as is” without warranties of any kind, to the fullest extent permitted by law. To the fullest extent permitted by law, R.B. Powers is not liable for indirect, incidental, special, or consequential damages, and our total liability for any order will not exceed the amount you paid for the affected products.
12. Indemnification
You agree to indemnify and hold R.B. Powers harmless from claims arising out of content or artwork you provide, your violation of these Terms, or your misuse of the products or website.
13. Privacy
Your use of the site is also governed by our Privacy Policy.
14. Governing law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Ohio, and you consent to their jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the version and may ask you to acknowledge the current Terms before continuing to use your account. Your continued use after an update constitutes acceptance of the updated Terms.
